Buyline Announces Letter of Intent (LOI) and potential acquisition of AI and Data Innovator Phonr to Revolutionize “Buy Now Pay Later” solutions.

OSLO, NORWAY – 01 June 2026 – Buyline Holding AS (Buyline), a leading Fintech company that provides Buy-Now-Pay-Later (BNPL) solutions for Small and Medium-sized Enterprises (SMEs) in the UK through its wholly-owned subsidiary Buyline Ltd, today announced that it has submitted a formal offer to acquire Phonr App Spain S.L. (Phonr), a Spanish pioneering technology firm specializing in proprietary data assets and AI-driven recommendation solutions.

Deal rationale: The proposed acquisition aligns with Buyline’s commitment to delivering frictionless, innovative financing solutions to the UK SME market. Buyline will use AI to improve profitability, strengthen risk management, and drive customer growth. While Phonr has built a track record delivering its B2B /B2C data and AI solutions within the telecommunications sector in Spain, its core technology is highly adaptable to other industries.

Through this transaction, Buyline will integrate Phonr’s technological framework into its own platform. This will significantly enhance Buyline’s underlying technology stack and streamline internal operating processes. By leveraging Phonr's advanced AI-driven chat, voice solutions, and data analytics, Buyline aims to automate complex workflows, accelerate credit decisioning, and provide a highly customized, intuitive experience for its SME clients.

Furthermore, as a cornerstone of this agreement, Phonr’s CEO & Co-Founder Christian Solli Nyborg will join Buyline’s Board of Directors upon completion of the transaction. His appointment will bring technological vision and entrepreneurial expertise to the board of Buyline. Christian Solli Nyborg is widely recognized for co-founding the Spanish telecommunications challenger MÁSMÓVIL in 2005 alongside current CEO Meinrad Spenger. Under their leadership, MÁSMÓVIL evolved from a startup into one of Europe’s most remarkable telecom growth stories, ultimately becoming part of a transaction approximately which valued MÁSMÓVIL to more than EUR 5 Billion.

Thomas Holter founded Buyline and was also previously instrumental in the development and scaling the success story of Ryde Technology , where he contributed to building and commercializing scalable technology-driven mobility solutions. His experience from scaling growth companies and developing capital market readiness brings valuable operational and strategic expertise to Buyline’s continued international expansion.
