The Board of Directors of the Company has appointed current board member Viggo Tjelta as the new Chair of the Board. Viggo Tjelta and the other two other remaining board members will for the time being continue as the Company's Board of Directors.

Nordic Unmanned ASA secures additional short term liquidity of EUR 2 million16.2.2024 12:00:01 CET | Nordic Unmanned | Inside information

Nordic Unmanned ASA has today signed a short term loan agreement to be repaid in August 2024. This short term loan is provided by the company’s existing lenders, and guaranteed by the main shareholder. The establishment of the short term liquidity facility comes as a consequence of delays in projects and other operational and seasonal developments announced in the stock exchange release on 4th December 2023 https://newsweb.oslobors.no/message/605599. The refinancing closed in October 2023 was based on a tight liquidity period in the winter and spring 2024,and this period is now bridged. The short term loan provides additional liquidity of EUR 2 million from March through late summer 2024, and will be repaid in August 2024.

Nordic Unmanned ASA signs agreement to sell CAMCOPTER® assets to Schiebel in a non-cash transaction29.12.2023 10:59:50 CET | Nordic Unmanned | Additional regulated information required to be disclosed under the laws of a member state

Nordic Unmanned’s Flight Services business has come to an agreement with Schiebel Aircraft GmbH to settle outstanding payables in a non-cash transaction where Schiebel buys back one CAMCOPTER® asset (Air Vehicle plus spare-parts). The delivery of the equipment will be executed in Q1 2024. The value of the transaction is EUR 927.000 and will result in a net loss from sale of assets of approximately EUR 700.000. The transaction underpins Nordic Unmanned’s efforts to work with its suppliers as partners, and supports Nordic Unmanned’s ongoing efforts to lighten the balance sheet and optimise the fleet for Flight Services. It remains a key goal to sell inventory unless idle equipment can be contracted and utilized in order to improve return on assets and strengthen the liquidity position. After this transaction, Nordic Unmanned will have a fleet of 3 CAMCOPTER® systems which includes 4 Air Vehicles.

Nordic Unmanned ASA (the "Company") has previously indicated a full year 2023 revenues target of MEUR 22-25. Due to delays on projects and sales, the Company now expects to deliver full-year 2023 revenues of approximately MEUR 17. The company estimates that approximately MEUR 5 of the short-fall in the 2023 revenue are timing differences that are expected to convert to revenue in 2024. The third quarter 2023 saw higher revenues than the same quarter last year, effects from cost reductions and positive cashflow from operations. Revenues of EUR 6.1 million in the quarter and EUR 14.9 million year to date 2023, compared to EUR 5.5 and EUR 12.8 million respectively in the same periods in 2022. AirRobot revenue growth in Q3 2023 of EUR 1.8 million, an increase of 323% YoY with the Tiquila and Mikado 2 contracts progressing. Flight Services had EUR 1.2 million lower revenues in Q3 2023. Flight hours increased with 22%, however revenue was lower due to contract and fleet mix. Adjusted EBITDA of EUR 0.9 million in the quarter, which is an improvement of EUR 2.2 million compared to the same period last year. This is due in particular to contract execution and progress related to the Tiquila and the Mikado 2 contracts in AirRobot, efficiency improvements in Flight Services, reduced group costs and higher activity in DroneMatrix.
