The Annual General Meeting of AINMT ASA (the “Company”) was held on 2 May 2022. The proposal to initiate a liquidation of the Company was approved and all other proposals in the notice were approved. At the meeting, an attending shareholder proposed an investigation into the sale of the Company’s telecommunications business. The proposal was rejected. In accordance with the recommendation of the Nomination Committee, the General Meeting has re-elected Guillaume d’Hauteville and Mari Thjømoe as directors. AINMT ASA (“AINMT” or the “Company”) has received a request from Roy Mosvold, HeIIesund Holding Ltd., Vaglen AS and Memento AS for an investigation into the sale of its telecommunications business to Lyse AS to be put on the agenda on the annual general meeting, to be held on 2 May 2022 (the “AGM”). As set out in the Public Limited Companies Act, the abovementioned shareholders have the right to propose such investigation at the AGM and the Company will add the investigation as item 12 to the agenda at the AGM. The Company is confident that the transaction with Lyse has been completed in accordance with all applicable laws and regulations, and that there are no grounds for such investigation. Further, the Company believes an investigation may significantly reduce the remaining shareholder value of AINMT.

Following sale of its operating business to Lyse AS and settlement of its external debt, the board of directors of AINMT ASA (the “Company”) has resolved to propose to liquidate the Company. The proposal will be made to the annual general meeting, expected to be held on 2 May 2022. The Company expects the liquidation process to be completed within this year. The assets of the Company, including its Swedish subsidiary AINMT Holdings AB, are approx. NOK 82 million in cash. The remaining net cash, after certain additional transaction, liquidation and operating costs, will be distributed to the shareholders as soon as permissible under Norwegian and Swedish law.

Reference is made to previous announcements by AINMT ASA (formerly ICE Group ASA, hereinafter the "Company") regarding the dispute between the Company’s subsidiary AINMT Holdings AB and GoldenTree. The dispute between AINMT Holdings AB and GoldenTree has been discontinued by mutual agreement between the parties and the scheduled court proceedings have been cancelled. As a consequence of the sale of Ice’s telecommunications business to Lyse AS (“Lyse”), the group CEO of Ice Group, Eivind Helgaker, along with the rest of the management team, will join Lyse. The Board of the Company has appointed Ola Beinnes Fosse as acting CEO to oversee the remaining operations of AINMT ASA and carry out the CEO functions of AINMT ASA while employed by Lyse.

Completion of the sale of Ice Group Scandinavia Holding AS, settlement of the dispute with GoldenTree and change of name30.3.2022 17:14:38 CEST | Ice Group ASA | Additional regulated information required to be disclosed under the laws of a member state

Reference is made to the announcement of 18 February by ICE Group ASA (the "Company") regarding a sale of Ice Group Scandinavia Holding AS («IGSH») and associated assets to Lyse AS, and the notice dated 4 March 2022 regarding entering into a definitive sale and purchase agreement. The sale of the shares in IGSH and associated assets has today been completed. Receipt of certain international payments are still in the process of being finally confirmed. The Company will employ the proceeds from the transaction to repay the loan provided by GoldenTree to AINMT Holdings AB, repay the PIK Toggle Convertible Bond issued by the Company and the loan provided by Rasmussengruppen AS. As a consequence of the repayment of GoldenTree loan, the dispute between AINMT Holdings AB and GoldenTree will be discontinued by mutual agreement between the parties upon receipt of payment by the lenders. As approved by the extraordinary general meeting on 21 March 2022, the Company will change its name to AINMT

The Company has been informed that the Norwegian Communications Authority ("Nkom") will approve the transfer of all frequency licenses. All material closing conditions are now completed. Closing of the Transaction is targeted for the end of March. Letter received in respect of purchase of the shares of Ice Group ASA18.3.2022 16:49:19 CET | Ice Group ASA | Non-regulatory press releases

The board of directors have yesterday received a letter from CC Capital Ltd. indicating a willingness to pay NOK 1 per share for all of the Company’s shares. The letter, which should have been addressed to the shareholders if intended to be an “offer”, also does not meet any of the basic requirements of the law or of Oslo Stock Exchange’s regulations in respect of offers for listed shares. The letter does not contain any solution for the imminent funding needs of the company. Furthermore, Ice Group ASA is bound by agreements with Lyse AS and the company is not free to support further transactions in contravention of these. The board has thus decided not to follow up on the dialogue with CC Capital Ltd.

Sale of Ice Group Scandinavia Holdings AS18.2.2022 09:45:45 CET | Ice Group ASA | Inside information

Ice Group ASA (the “Company”) and its subsidiary AINMT Holdings AB ("AINMT", together with Company referred to as “Ice”) have decided to enter into a Heads of Terms agreement with Lyse AS (“Lyse”) regarding the sale of Ice Group Scandinavia Holdings AS (“IGSH”) (the “Transaction”). Reference is made to the previous stock exchange notices regarding the legal proceedings between Ice Group ASA's ("ICE") subsidiary AINMT Holdings AB ("AINMT") and GoldenTree Asset Management LP ("GoldenTree") and others relating to the loan agreement between GoldenTree, certain other lenders and AINMT (the "GT Loan Agreement"). In its stock exchange notice 3 January 2022, ICE referred to a pleading in which the plaintiffs significantly reduced their claim to 5 alleged breaches, each allegedly entitling the plaintiffs to a 5 percentage point interest increase.
