Telenor og NENT slår sammen Canal Digital og Viasat Consumer

(Fornebu / Stockholm, 22. oktober 2019) Telenor og Nordic Entertainment Group (NENT) kunngjør i dag opprettelsen av et nytt selskap som kombinerer Canal Digital og Viasat Consumer (satellitt- og bredbånds-TV­).  Dette vil skape en fremoverlent nordisk TV-distribusjonsvirksomhet og hente synergier i et modent direct-to-home segment (DTH). Telenor og NENT vil hver eie 50 prosent av det nye selskapet.

Nøkkeltall

  • Transaksjonen resulterer i et selskap med en total omsetning på ca 7 milliarder NOK og i overkant av 1,25 millioner kunder (Q2 2019).

  • Transaksjonen er forventet å gi årlige synergier på inntil 600 millioner NOK med helårseffekt fra 2022.

  • Det er forventet inntil 830 millioner NOK i integrasjonskostnader.

Selskapet vil ha hovedkontorer i både Oslo og Stockholm, og vil også ha en betydelig tilstedeværelse i København. Selskapet vil operere på armlengdes avstand i forhold til eierne. Det nordiske kundetilbudet vil fokusere på satellittdistribuert betal-TV (DTH) og strømmetjenester, samt IPTV på åpne fibernett, og vil fortsette å utvikle markedsledende TV-distribusjonstjenester.

Styret for selskapet vil ha en lik representasjon fra Telenor og NENT Group, med roterende styreleder. Administrerende direktør i selskapet vil bli Bjørn Ivar Moen (nåværende CEO i Canal Digital og Telenor Broadcast) og finansdirektør vil bli Jonas Gustafsson (nåværende CEO i Viasat Consumer).  Andre viktige lederstillinger vil bli kunngjort før gjennomføringen av transaksjonen. Telenor og NENT anerkjenner betydningen av at deres ansatte er avgjørende for å lykkes med det nye selskapet, og at avtalen er underlagt ordinære konsultasjoner med fagforeningene.

Etableringen av selskapet er det siste i en rekke tiltak Telenor gjør for å gjennomgå sin forretningsstruktur og kjernesystemer, med den hensikt å finne og utnytte strategiske muligheter for å modernisere og optimalisere kundetilbudet for neste generasjons nettverk.

Transaksjonen er underlagt godkjenning av myndighetene og forventes gjennomført i løpet av første halvår av 2020.
