Reference is made to the stock exchange announcements made by PGS ASA (“PGS” or the “Company”) regarding the subsequent offering (the “Subsequent Offering) of up to 38,155,803 new shares at a subscription price of NOK 3.70 (the “Offer Shares”).

The subscription period for the Subsequent Offering expired today 15 July 2022 at 12:00 (CEST).

The Company has received subscriptions for 106,926,581 Offer Shares in the Subsequent Offering out of a total of 38,155,803 shares available. The Subsequent Offering was oversubscribed by approximately 180%.

27,251,850 new shares, constituting 71% of the Offer Shares, were subscribed for and allocated through the exercise of subscription rights. 10,903,953 new shares, constituting 29% of the Offer Shares, are allocated pro-rata to subscribers who have oversubscribed based on the number of subscription rights exercised by each subscriber. The Subsequent Offering raised gross proceeds of approximately NOK 141 million.

Notifications of allocated Offer Shares in the Subsequent Offering and the corresponding subscription amount to be paid by each subscriber are expected to be distributed will on or about 18 July 2022. The payment date for the Offer Shares is 20 July 2022 and delivery date is expected to be on or about 21 July 2022, subject to timely payment of the entire subscription amount pursuant to a pre-funding arrangement between the Company and Carnegie AS.

Following registration of the share capital increases pertaining to the Subsequent Offering, the Company will have a share capital of NOK 1,965,186,249, divided into 655,062,083 shares, each with a nominal value of NOK 3.00.

Carnegie AS is acting as the Manager in the Subsequent Offering and Advokatfirmaet BAHR AS is acting as legal advisor to the Company.
