Norsk Hydro har lagt inn tilbud om kjøp av 100 prosent av aksjene i det polske resirkuleringsselskapet Alumetal S.A.

Norsk Hydro har i dag lagt inn et tilbud om kjøp av 100 prosent av aksjene i Alumetal S.A, et selskap som er notert på Warsawa-børsen, til 68,4 polske zloty (PLN) kontant per aksje (“kjøpskursen”), noe som tilsvarer en samlet pris på egenkapitalen på om lag 1.066 millioner PLN (om lag 232 millioner euro).

Transaksjonen representerer en selskapsverdi på om lag 1.332 millioner PLN (ca. 290 millioner euro), basert på sist rapporterte netto gjeld for regnskapsåret 2021 og betalbart utbytte på 106 millioner PLN (ca. 23 millioner euro). Dato for utbetaling av utbytte er 27. juli 2022. Med denne transaksjonen vil Hydro styrke sin resirkuleringsposisjon i Europa, og utvide produkttilbudet i markedet for støpelegeringer basert på resirkulert aluminiumskrap. 

Gjennomføring av kjøpet er gjenstand for vanlige betingelser, blant annet godkjenning fra konkurransemyndighetene, og at det oppnås kontroll over et minimum av 66 prosent av de samlede utestående aksjene. Hydro har inngått en avtale med to medlemmer i Alumetals representantskap og alle medlemmene i Alumetals konsernledelse, som til sammen eier om lag 39 prosent av selskapets aksjer. Disse har forpliktet seg til å godta tilbudet om kjøp av sine aksjer til den angitte kjøpskursen.

Hydros strategi fram mot 2025 tar sikte på å styrke selskapets posisjon innenfor lavkarbonaluminium ved å investere i resirkulering. Hydro har satt seg som strategisk ambisjon å doble selskapets resirkulering av brukt aluminiumskrap (PCS) fram mot 2025, og øke årlig EBITDA fra resirkulering med et beløp fra 0,7 til 1,1 milliarder kroner innen 2025. Brukt aluminiumskrap gir betydelig lavere CO2-fotavtrykk i sluttproduktet enn bruk av prosesskrap og primæraluminium.

Transaksjonen som er offentliggjort i dag er et viktig skritt i arbeidet med å gjennomføre strategien fram mot 2025. Etter oppkjøpet av Alumetal vil Hydro øke bruken av brukt aluminiumskrap med om lag 150.000 tonn per år, som sammen med andre resirkuleringsprosjekter som nylig er kunngjort gjør at Hydro kan oppnå sin ambisjon om å doble bruken av brukt aluminiumskrap innen 2025. Oppkjøpet vil gi en årlig økning i EBITDA på 47 millioner euro basert på regnskapstall for 2021 fra Alumetal.

Kjøpskursen omfatter en overkurs på 4,7 prosent sammenliknet med sluttkursen dagen før offentliggjøringen. 

Tegningen knyttet til tilbudet er ventet å begynne 13. juni 2022, og slutte 12. juli 2022. Norsk Hydro forbeholder seg retten til å forlenge tilbudsperioden i samsvar med betingelsene i tilbudet. Alumetals konsernledelse ventes å komme med en uttalelse før tilbudsperioden starter.

Alumetal er Europas nest største produsent av støpelegeringer i aluminium, med en produksjonskapasitet på 275.000 tonn i året med tre anlegg i Polen og ett i Ungarn. Selskapet selger hovedsakelig sine produkter I Europa hvor  bilindustrien utgjør den største kundegruppen. Alumetal har også utstrakt erfaring med sortering av brukt skrap (PCS) og er i gang med å bygge en ny og moderne sorteringslinje.
