Systemair (NASDAQ OMX Stockholm: SYSR) höll sin årsstämma den 26 augusti 2020 i Systemair Expo i Skinnskatteberg. På stämman var 68 röstberättigande aktieägare närvarande som representerade 81,66% av det totala antalet röster och aktier. Stämman beslutade i enlighet med styrelsens förslag i samtliga föreslagna ärenden. De viktigaste beslutens huvudsakliga innehåll var:

Utdelning
Stämman beslutade att utdelning inte lämnas för räkenskapsåret 2019/20 och att till årsstämmans förfogande stående medel om 1 705 759 197 kronor balanseras i ny räkning.

Styrelse
Stämman godkände omval av Carina Andersson, Gerald Engström, Patrik Nolåker, Svein Nilsen och Gunilla Spongh. Gerald Engström valdes till ordförande i styrelsen.

Valberedning
Styrelsens ordförande gavs i uppdrag att kontakta de tre röstmässigt största aktieägarna eller ägargrupperna, enligt Euroclear Sweden AB:s utskrift av aktieboken per den 31 januari 2021, och be dem utse en representant vardera till valberedningen.

Bemyndigande för styrelsen att besluta om nyemission
Årsstämman beslutade att bemyndiga styrelsen att, vid ett eller flera tillfällen under tiden fram till nästa årsstämma, med eller utan avvikelse från aktieägarnas företrädesrätt, besluta om att öka bolagets aktiekapital genom nyemission av aktier. Med stöd av bemyndigandet får bolaget emittera upp till högst tio procent av antalet aktier i bolaget, vid tidpunkten för årsstämman 2020. Emission ska ske på marknadsmässiga villkor. Bemyndigandet ska omfatta rätt att besluta om emission med kontant betalning, med betalning med apportegendom eller genom kvittning. Syftet med bemyndigandet och skälet för att avvikelse från aktieägares företrädesrätt ska kunna ske, är att möjliggöra finansiering av företagsförvärv.
