Kommuniké från årsstämma i TerraNet Holding

Årsstämman i TerraNet Holding AB ("TerraNet" eller "Bolaget") hölls idag den 29 april 2021 varvid aktieägarna fattade följande beslut.

FASTSTÄLLANDE AV RESULTAT- OCH BALANSRÄKNINGEN
Årsstämman beslutade att fastställa resultaträkningen och balansräkningen i TerraNet samt koncernresultaträkningen och koncernbalansräkningen.

VINSTDISPOSITION
Årsstämman beslutade att disponera resultatet i enlighet med styrelsens förslag i årsredovisningen, det vill säga att resultatet förs över i ny räkning.

ANSVARSFRIHET
Styrelsens ledamöter och den verkställande direktören beviljades ansvarsfrihet för verksamhetsåret 2020.

VAL AV STYRELSE, REVISOR SAMT ARVODERING
Årsstämman beslutade att styrelsen ska bestå av fem styrelseledamöter utan suppleanter. Det beslutades vidare att Bolaget ska ha ett registrerat revisionsbolag som revisor.

Till styrelseledamöter omvaldes Göran Janson, Karolina Bjurehed, Arne Hansson, Lars Novak och Michel Roig. Göran Jansson omvaldes till styrelsens ordförande.

Det registrerade revisionsbolaget Deloitte AB omvaldes som Bolagets revisor. Deloitte AB har meddelat att den auktoriserade revisorn Richard Peters fortsatt kommer vara huvudansvarig revisor.

Det beslutades att styrelsearvode ska utgå med 100 000 kronor (100 000 kronor föregående år) till var och en av de stämmovalda ledamöterna som inte är anställda i Bolaget eller koncernen och med 200 000 kronor (200 000 kronor föregående år) till styrelsens ordförande, totalt 600 000 kronor (700 000 kronor föregående år). Vidare beslutades att arvode till revisorn skulle utgå enligt godkänd räkning.

PRINCIPER FÖR VALBEREDNING
Årsstämman beslutade att anta de i kallelsen intagna principerna för valberedning.

ÄNDRING AV BOLAGSORDNING AVSEENDE BLAND ANNAT FÖRETAGSNAMN
Årsstämman beslutade, i enlighet med styrelsens förslag, att ändra Bolagets företagsnamn till Terranet AB. Det beslutades vidare att justera bestämmelsen om deltagande vid bolagsstämma med anledning av ändring i aktiebolagslagen. Det beslutades även att införa möjlighet till fullmaktsinsamling och poströstning.

BEMYNDIGANDE FÖR STYRELSEN ATT BESLUTA OM EMISSIONER
Årsstämman beslutade, i enlighet med styrelsens förslag, att bemyndiga styrelsen att intill nästa årsstämma vid ett eller flera tillfällen besluta om emission av B-aktier, konvertibler och/eller teckningsoptioner med rätt att konvertera till respektive teckna B-aktier, med eller utan avvikelse från aktieägares företrädesrätt, inom bolagsordningens gränser, att betalas kontant, genom apport och/eller genom kvittning.

Oslo, 13 May 2021 – DNO ASA, the Norwegian oil and gas operator, today reported that Kurdistan’s Minister of Natural Resources has informed the international oil companies operating in the region of an intention to extend the payment period for arrears built up from non-payment of certain invoices in 2019 and 2020.
