Equinor ASA: Kjøp av aksjer til aksjeprogram for ansatte
Equinor ASA (OSE: EQNR, NYSE: EQNR) har 8. februar 2023 engasjert en tredjepart for å gjennomføre tilbakekjøp av selskapets aksjer til bruk i aksjebaserte insentivprogrammer for ansatte og ledelse i perioden fra 15. februar 2023 til 15. januar 2024.
Programmet for tilbakekjøp av aksjer i perioden fra 15. februar 2023 til 10. mai 2023 er basert på fullmakten gitt i generalforsamling 11. mai 2022 og registrert i Brønnøysundregistrene. I henhold til fullmakten, er det høyeste antallet aksjer som kan kjøpes i markedet 15.200.000, den laveste prisen som kan betales for en aksje er 50 NOK, og den høyeste prisen er 1000 NOK. Tilbakekjøp av aksjer etter generalforsamlingen i 2023 er betinget av ny fullmakt.
Tilbakekjøpsprogrammet er tidsbestemt, og aksjekjøpene skal gjennomføres på spesifiserte datoer i perioden fra 15. februar 2023 til 15. januar 2024 med et bestemt beløp per dato, som fastsatt i tilbakekjøpsprogrammet.
Samlet kjøpesum i tilbakekjøpsprogrammet er inntil NOK 1.535.150.000. Det maksimale antallet aksjer som kan erverves er 20.000.000 aksjer, hvorav opptil 12.000.000 aksjer kan erverves i perioden fra 15. februar 2023 til 10. mai 2023, og opptil 8.000.000 aksjer kan erverves i perioden fra 15. juni 2022 til 15. januar 2024.
Aksjene skal benyttes til oppfyllelse av forpliktelser overfor ansatte som deltar i selskapets aksjespareprogram og langtidsinsentivprogram.
Aksjene vil bli kjøpt på Oslo Børs. Programmet for tilbakekjøp av aksjer vil bli gjennomført i henhold til gjeldende safe harbour-vilkår, og som fastsatt i den norske verdipapirhandelloven av 2007, EU Commission Regulation (EC) nr. 2016/1052, og Oslo Børs' retningslinjer for tilbakekjøpsprogram og kursstabilisering, februar 2021.
