Den andra konverteringsperioden för konvertibler av serie KV2 inleds idag och konverteringskursen har fastställts till 0,11 SEK

Cortus Energy AB (”Cortus Energy” eller “Bolaget”) genomförde under tredje kvartalet 2022 enföreträdesemission bestående av konvertibler av serie KV2 och teckningsoptioner av serie TO10. Konverteringskursen per konvertibel ska fastställas till 70 procent av den volymvägda genomsnittskursen i Bolagets aktie på Nasdaq First North Growth Market undermätperioden från och med den15februari 2023till och med den 28februari2023, dock lägst 0,10 SEK och högst 0,40 SEK. Den volymvägda genomsnittskursen i Bolagets aktie uppgick under mätperioden till cirka 0,15 SEK och således är konverteringskursen fastställd till 0,11SEK. Den andra konverteringsperioden för konvertibler av serie KV2 inleds idag, onsdagen den 1 mars.

Villkor för konvertibler i sammandrag:
Konverteringsperiod: 1 mars 2023 - 15 mars 2023.
Konverteringskurs: 0,11 SEK. Varje konvertibel berättigar nominellt till cirka 9,09 aktier.
Upplupen ränta för perioden
Konvertiblernas ränta uppgår till tolv (12) procent per år. Denna ränta berättigar konvertibelinnehavaren till utbetalning av upplupen ränta i form av aktier vid konvertering. Räntan beräknas genom att beräkna räntan för perioden med avrundning nedåt till närmaste heltal, för att sedan beräkna antalet aktier den upplupna räntan berättigar till, med avrundning nedåt till närmaste heltal.
Förvaltarregistrerade konvertibler (depå)
Teckning av aktier genom konvertering av konvertibler ska ske i enlighet med anvisningar från respektive förvaltare. Vänligen kontakta er förvaltare för ytterligare information.
Direkregistrerade konvertibler (VP-konto)
Teckning av aktier genom konvertering av konvertibler sker enligt instruktioner på anmälningssedeln. Anmälningssedeln kommer att finnas tillgänglig på emissionsinstitutet Mangold Fondkommission AB:s hemsida www.mangold.se.
Registrering av emissionen
Vid konvertering erhålls interimsaktier (IA) i väntan på att registrering ska ske hos Bolagsverket, vilket beräknas ske i slutet av mars 2023. Nyemitterade aktier berättigar till utdelning första gången på den avstämningsdag för utdelning som infaller närmast efter det att de nya aktierna är införda i Bolagets aktiebok, som förvaltas via Euroclear.
Återbetalning av ej nyttjade konvertibler
Konvertibler som inte konverterats till aktier kommer att återbetalas till nominellt värde, det vill säga 1,00 SEK per konvertibel, jämte upplupen periodränta om tolv (12) procent. Sådan återbetalning kommer i förekommande fall att ske den 12 april 2024.
