Ændretejerkreds i fusion af mobilbetalingsselskaber

Efter dialog med EU-Kommissionens konkurrencemyndighed har ejerbankerne bag den ønskede fusion af de tre mobilbetalingsselskaber MobilePay, Vipps og Pivo besluttet, at finske OP alligevel ikke bliver medejer, og at Pivo ikke kommer til at indgå i fusionen.

I slutningen af andet kvartal 2021 offentliggjorde Danske Bank en aftale med finske OP Financial Group og konsortiet af banker bag Vipps i Norge om at fusionere de tre mobilbetalingsselskaber MobilePay, Vipps og Pivo.

Henover sommeren udtrykte Kommissionen bekymring over, at både MobilePay og Pivo ville være omfattet af fusionen, da man sammenlægger to væsentlige aktører i Finland. Kommissionens umiddelbare opfattelse var, at fusionen derved ville kunne have en negativ indvirkning på konkurrencen inden for mobile betalings-wallets i Finland.  

Som konsekvens heraf har ejerbankerne i enighed besluttet at gå videre med fusionen uden OP som medejer. Det betyder også, at OP’s mobile wallet, Pivo, ikke vil være omfattet af fusionen. Den nu ændrede fusion er anmeldt til Kommissionen og afventer godkendelse.

Fusionen er fortsat den rette beslutning
Danske Bank og bankerne bag Vipps er fortsat overbeviste om, at fusionen mellem Vipps og MobilePay er rigtig, idet der med fusionen etableres en af de mest komplette mobile wallets i Europa. Den nye fælles koncern baseret på Vipps og MobilePay vil fra starten have knap 11 millioner brugere, over 400.000 butikker og webshops som kunder og omkring 900 millioner transaktioner om året. Den vil rumme 600 kompetente medarbejdere.

Navnet på den nye virksomhed vil være Vipps MobilePay AS. Ambitionen er at levere nemme betalingsløsninger med afsæt i brugernes og erhvervskundernes daglige behov.

Som tidligere kommunikeret vil den nye virksomhed beholde sine velkendte brands, MobilePay og Vipps. Derfor vil MobilePays danske og finske brugere og erhvervskunder opleve meget begrænsede forandringer, bortset fra at nye innovative løsninger vil blive lanceret i hurtigere tempo, når fusionen er på plads.

Ændringer i ejerandele
I forbindelse med, at OP udtræder af aftalen, vil forholdet mellem Danske Banks og de norske bankers ejerandel forblive det samme. Det betyder, at Danske Bank i stedet for en ejerandel på 25% vil få en ejerandel på 27,8%, mens bankerne bag Vipps får en ejerandel på 72,2% i stedet for 65%.

Ændringerne i ejerskabet ændrer ikke væsentligt på den tidligere kommunikerede forventning fra Danske Bank. Den forventede engangsindtægt fra handlen vil være på omkring 400 millioner DKK som konsekvens af fusionen og fordelingen af aktier i den nye virksomhed. Fusionen er fortsat betinget af en godkendelse af de relevante myndigheder, herunder EU-Kommissionen. Endelig godkendelse forventes fortsat i andet halvår af 2022.

Ingen ændringer i ledelse
Beslutningen er uændret, at hovedsædet for moderselskabet, Vipps MobilePay, vil være placeret i Oslo, og virksomheden vil være underlagt det norske finanstilsyn.

Rune Garborg, nuværende CEO i Vipps, vil ligeledes fortsat blive CEO for den nye virksomhed. Claus Bunkenborg bliver Deputy CEO. Kjerstin Braathen, nuværende bestyrelsesformand for Vipps og CEO i den største norske bank, DNB, bliver bestyrelsesformand for den ny virksomhed. Alle øvrige medlemmer af ledergruppen samt bestyrelsesmedlemmer offentliggøres, når fusionen er endeligt på plads.
