som led i et samlet salg til Nykredit.
Møns Bank opjusterer forventningerne til årets resultat for 2026
Ejerne af BEC Financial Technologies a.m.b.a ("BEC") har i dag indgået en betinget rammeaftale ("Aftalen"), hvorefter Nykredit overtager det fulde ejerskab af BEC. Aftalen indebærer, at Nykredit overtager de resterende ca. 31% fra de øvrige tolv ejere af BEC.
Møns Banks eksisterende ejerandel af BEC udgør 2,34 procent.
I forbindelse med Aftalens gennemførelse vil BEC indgå i Nykredit-koncernen under navnet Nykredit Financial Technologies.
Som led i Aftalen fortsætter Møns Bank som kunde i Nykredit Financial Technologies og vil således, efter Aftalens gennemførelse, fremadrettet få sine it-løsninger leveret af Nykredit Financial Technologies.
Aftalens gennemførelse er underlagt visse betingelser, herunder godkendelse fra Konkurrence- og Forbrugerstyrelsen samt indgåelse af partneraftaler mellem Nykredit Financial Technologies og de nuværende ejere, der fortsætter som kunder i Nykredit Financial Technologies.
Når alle betingelser for Aftalens gennemførelse er opfyldt, kan købet gennemføres. Dette forventes at kunne ske i løbet af 2. halvår 2026.
Ved Aftalens gennemførelse forventer Møns Bank at modtage et samlet brutto-beløb på 47,4 mio. kr. før skat og omkostninger, bestående af tilbagebetalt kapitalindskud 29,4 mio. kr. i BEC samt provenu 18 mio. kr. for overdragelse af bankens ejerandel i BEC til Nykredit.
Opjustering af forventninger
Såfremt betingelserne for Aftalens gennemførelse opfyldes, og forudsat at denne effektueres i 2026, forventes Aftalens indgåelse at medføre en væsentlig økonomisk effekt for Møns Bank i 2026.
På baggrund heraf samt bankens fortsatte positive udvikling og tilfredsstillende realisering af vækststrategi opjusterer Møns Bank således forventningerne til årets resultat før skat i 2026 fra niveauet 40 – 60 mio. kr. udmeldt i selskabsmeddelelse ved årsregnskabet 25. februar 2025 til intervallet 60 – 80 mio. kr. for året 2026.
