Resultat af ordinær generalforsamling i SJF Bank (Sparekassen Sjælland-Fyn A/S)
Den 5. marts 2026 afholdte SJF Bank ordinær generalforsamling i Boxen, Østre Havnevej 11, 4300 Holbæk.
Bestyrelsens beretning blev taget til efterretning, og årsrapporten for 2025 samt forslag til fordeling af overskud, ydelse af gave til almennyttige formål herunder udbetaling af udbytte på kr. 11,00 pr. aktie, blev godkendt.
Generalforsamlingen godkendte den fremlagte vederlagsrapport for 2025.
Derudover blev der valgt seks medlemmer til repræsentantskabet. Følgende anført i alfabetisk rækkefølge efter efternavn blev valgt:

Generalforsamlingen genvalgte Deloitte Statsautoriseret Revisionspartnerselskab som revisor for SJF Bank.
Som følge af ikrafttrædelsen af Omnibusdirektivet har banken besluttet ikke at vælge en bæredygtighedsrevisor for regnskabsåret 2026.
Generalforsamlingen bemyndigede bestyrelsen til – indtil næste ordinære generalforsamling – mod vederlag at lade SJF Bank erhverve egne aktier med op til 4 % af SJF Banks aktiekapital.
Vederlaget for 2026 til bestyrelsesmedlemmer i SJF Bank blev godkendt af generalforsamlingen.
Generalforsamlingen godkendte en nedsættelse af aktiekapitalen med nominelt 3.132.730 ved annullering af egne opkøbte aktier. Efter Erhvervsstyrelsens godkendelse af kapitalnedsættelsen vil bankens kreditorer blive opfordret til at fremsætte eventuelle krav mod selskabet inden for en frist på fire uger. Når denne periode er udløbet, vil bestyrelsen kunne træffe beslutning om den endelige gennemførelse af kapitalnedsættelsen, som herefter skal registreres hos Erhvervsstyrelsen. Banken vil efterfølgende udsende en selskabsmeddelelse for at informere om den endelige kapitalnedsættelse.
De af bestyrelsen foreslåede vedtægtsændringer blev vedtaget, indebærende følgende ændringer i vedtægterne:
- Ændring af punkt 4.1, 4.2 og 4.3:
Bestyrelsens bemyndigelse til at foretage kapitalforhøjelser forlænges til den 1. marts 2031.
- Ændring af punkt 1.1:
”Bankens navn er SJF Bank A/S”. - Tilføjelse til punkt 22.1:
Tilføjelse af følgende binavne: ”Sparekassen Sjælland-Fyn A/S”.
- Ændring af punkt 9.2:
Sletning af punkt 7: ”Valg af bæredygtighedsrevisor”.
Afslutningsvist besluttede generalforsamlingen at bemyndige dirigenten, advokat Bo Holse, til at anmelde anmeldelsespligtige beslutninger truffet af generalforsamlingen til Erhvervsstyrelsen.
