Præcisering vedrørende indkaldelsen til ordinær generalforsamling 2025
Brøndbyernes I.F. Fodbold A/S indkaldte den 26. september 2025 ved selskabsmeddelelse nr. 9/2025 til ordinær generalforsamling i Brøndbyernes I.F. Fodbold A/S, CVR-nr. 83 93 34 10 (”Selskabet”) som afholdes den 21. oktober 2025, kl. 16:00. Selskabet ønsker at præcisere dagsordenens punkt 4.c i de fuldstændige forslag fra bestyrelsen, vedlagt indkaldelsen til den ordinære generalforsamling.
Dagsordenens punkt 4.c indeholder et forslag fra bestyrelsen om forlængelse af bemyndigelsen i vedtægternes § 3b til bestyrelsen til at beslutte at forhøje Selskabets aktiekapital uden fortegningsret.
Bestyrelsen ønsker, at det maksimale antal aktier, der kan udstedes ved udnyttelse af bemyndigelsen, skal svare til 20% af Selskabets antal aktier, og det opdaterede fuldstændige forslag for dagsordenens punkt 4.c har således følgende ordlyd:
c. Forslag om forlængelse af bemyndigelsen i vedtægternes § 3b til bestyrelsen til at beslutte at forhøje Selskabets aktiekapital uden fortegningsret.
Bestyrelsen foreslår at forlænge bemyndigelsen i §3b, så den gælder frem til 21. oktober 2030. Forslaget indebærer ændring af vedtægternes § 3b, stk. 1, til nedenstående, som forudsætter, at forslag 4a vedtages, ellers vil bemyndigelsen vedrøre bestyrelsens bemyndigelse til at forhøje selskabskapitalen med samme beløb, som selskabskapitalen udgør efter behandling af forslag 4a, hvilket vil sige op til nominelt kr. 57.033.273 fordelt på aktier a kr. 0,25 på tidspunktet for indkaldelsen :
Bestyrelsen er indtil 21. oktober 2030 bemyndiget til at beslutte at forhøje Selskabets aktiekapital tilmarkedskurs ad én eller flere gange ved tegning af op til 228.133.093 stk. aktier a nominelt kr. 0,10 (i alt op til nominelt kr. 22.813.309,30) uden fortegningsret for Selskabets aktionærer.
Vedtægternes § 3b, stk. 2 og 3, ændres ikke ved forslaget.
