TILBAGEKØB AF EGNE AKTIER TIL DÆKNING AF RSU PROGRAM:
Selskabet meddelte i selskabsmeddelelse 17/2025, at insidere har vestet et RSU program svarende til i alt 600 aktier til kurs 1.000.
Bestyrelsen har i forlængelse heraf besluttet at iværksætte et aktietilbagekøb for perioden mandag d. 12. maj – fredag d. 8. august 2025 begge dage inklusive for maksimalt DKK 1 mio.
Selskabet ejer pr. dags dato totalt 0 aktier. Det samlede antal aktier i virksomheden er i alt 41.712 aktier.
Grundlag for aktietilbagekøbet:
På selskabets ordinære generalforsamling den 18. april 2024 blev selskabet bemyndiget til at købe egne aktier. Bemyndigelsen har følgende ordlyd:
”Generalforsamlingen bemyndiger bestyrelsen til på vegne af selskabet at tilbagekøbe egne aktier, jf. selskabslovens § 198. Bemyndigelsen gives for en periode på 5 år fra datoen for generalforsamlingens bemyndigelse, det vil sige gældende til den 18. april 2029. Der skal maksimalt kunne erhverves egne aktier for en samlet nominel værdi svarende til 25% af selskabets til enhver tid værende aktiekapital. Selskabet må ikke erhverve egne aktier til under kurs pari, og selskabet må højst betale en pris, der svarer til den senest noterede handelskurs på Nasdaq Copenhagen forud for handlens indgåelse.
Med iværksættelsen af aktietilbagekøbet vil bestyrelsen benytte bemyndigelsen til at lade selskabet erhverve egne aktier. De tilbagekøbte aktier skal anvendes til afdækning af selskabets RSU program for 2023 (Jf. selskabsmeddelelse 8 & 15/2023).
Beskrivelse af aktietilbagekøbet:
Aktietilbagekøbet løber i perioden fra mandag d. 12. maj 2025 kl. 09.00 til og med fredag d. 8. august 2025 klokken 17:00 (dansk tid).
Selskabet vil løbende meddele om ugens samlede resultat af aktietilbagekøb med offentliggørelse af alle handler hver efterfølgende mandag indeholdende antal købte aktier/kurs, restbeløb i rammen samt hvor stort et ejerskab man besidder af selskabets aktiekapital, første gang mandag d. 19. maj 2025.
Selskabet kan vælge at stoppe aktietilbagekøbsprogrammet når som helst enten når det ønskede antal på 600 aktier er opnået, eller hvis der indtræffer væsentlige kurspåvirkende hændelser inden periodens seneste udløb d. 8. august 2025.
Selskabet har valgt ikke at anvende Safe Harbour reglerne i forbindelse med aktietilbagekøbsprogrammet, men i stedet at købe aktier direkte i markedet, men struktureret på en måde, så Safe Harbour principperne bedst muligt efterleves. Selskabet vil i aktietilbagekøbet fravige den traditionelle Safe Habour regel om maksimalt at erhverve 25% af dagsomsætningen henset til aktiens lave likviditet.
