Forløb af den ordinære generalforsamling 2025
ROCKWOOL A/S har den 2. april 2025, kl. 15.00, afholdt ordinær generalforsamling i Roskilde Kongrescenter.
På generalforsamlingen blev bestyrelsens beretning for regnskabsåret 2024 taget til efterretning, årsrapporten for 2024 blev godkendt, og der blev meddelt decharge til direktion og bestyrelse. Derudover blev vederlagsrapporten for 2024 godkendt.
Generalforsamlingen godkendte vederlaget til bestyrelsen, herunder vederlaget til medlemmer af revisions- samt vederlags- og nomineringsudvalget, for perioden fra den ordinære generalforsamling i 2025 til den ordinære generalforsamling i 2026.
Generalforsamlingen godkendte bestyrelsens forslag om udlodning af udbytte på 63 DKK (8,4 EUR) pr. aktie à nominelt 10 DKK, svarende til i alt 182 mio. EUR.
Ilse Irene Henne, Rebekka Glasser Herlofsen, Carsten Kähler, Thomas Kähler og Jørgen Tang-Jensen blev genvalgt til bestyrelsen. Claes Westerlind blev valgt som nyt medlem af bestyrelsen.
PricewaterhouseCoopers Statsautoriseret Revisionspartnerselskab (PwC) blev valgt som revisor for selskabet i overensstemmelse med revisionsudvalgets anbefaling med hensyn til lovpligtig regnskabs- og bæredygtighedsrapportering.
Generalforsamlingen meddelte bestyrelsen bemyndigelse til i perioden indtil næste ordinære generalforsamling at lade selskabet erhverve egne aktier, såvel A-aktier som B-aktier, med en samlet pålydende værdi på indtil 10% af selskabets aktiekapital, forudsat at kursen for egne aktier på købstidspunktet ikke afviger med mere end 10% fra den seneste noterede børskurs.
Generalforsamlingen godkendte, at der gennemføres et aktiesplit i forholdet 1:10, idet den nominelle værdi af selskabets A- og B-aktier derved ændres fra 10 DKK til 1 DKK. Aktiesplittet på 1:10 vil blive gennemført så hurtigt som muligt og vil blive offentliggjort ved særskilt selskabsmeddelelse.
Generalforsamlingen godkendte bestyrelsens forslag om at nedsætte selskabets aktiekapital fra nominelt 216.207.090 DKK til nominelt 211.605.790 DKK ved annullering af tilbagekøbte B-aktier med en samlet nominel værdi på 4.601.300 DKK, svarende til 4.601.300 B-aktier á nominelt 1 DKK efter gennemførelse af aktiesplittet.
Ligeledes godkendte generalforsamlingen bestyrelsens forslag om at tildele 100 mio. DKK til Fonden for genopbygning af Ukraine.
Efter generalforsamlingen konstituerede bestyrelsen sig med Thomas Kähler som formand og Jørgen Tang-Jensen som næstformand.
