Aktietilbagekøbsprogram

Bankens bestyrelse har besluttet at iværksætte et aktietilbagekøbsprogram på op til samlet 35 mio. kr., dog maksimalt 76.100 aktier, bestående af:
- Tilbagekøb af aktier for op til 10 mio. kr., dog maksimalt 21.700 aktier, med henblik på at opfylde forpligtelser som følge af etablering af medarbejderaktieordning til Djurslands Bank A/S’ ansatte.
- Tilbagekøb af aktier for op til 25 mio. kr., dog maksimalt 54.400 aktier, med det formål at reducere aktiekapitalen ved at annullere de tilbagekøbte aktier på en senere generalforsamling.
Aktietilbagekøbsprogrammet afvikles med baggrund i den bemyndigelse, som banken fik på den ordinære generalforsamling den 19. marts 2024, til at lade banken erhverve egne aktier. Banken har desuden indhentet tilladelse fra Finanstilsynet.
Programmet bliver igangsat den 1. september 2024 og vil være afsluttet senest den 31. august 2025.
Aktietilbagekøbsprogrammet gennemføres i overensstemmelse med artikel 5 i EU-Kommissionens forordning nr. 596/2014 af 16. april 2014 og EU-Kommissionens delegerede forordning nr. 2016/1052 af 8. marts 2016, der tilsammen udgør ”Safe Harbour”-reguleringen.
Betingelserne for aktietilbagekøbsprogrammet er følgende:
- Banken har antaget Danske Bank som Lead Manager for programmet. Danske Bank vil uafhængigt af og uden indflydelse fra banken træffe beslutninger om aktieopkøb og gennemføre disse indenfor de offentliggjorte rammer.
- Aktietilbagekøbet må ikke ske til en kurs, der overstiger den højeste af (i) aktiekursen på den senest uafhængige handel eller (ii) det højeste uafhængige købstilbud på Nasdaq Copenhagen på handelstidspunktet.
- Der kan på en handelsdag højst opkøbes aktier svarende til 25% af den gennemsnitlige daglige handelsvolumen i de 20 forudgående handelsdage på Nasdaq Copenhagen.
- Banken vil senest hver syvende handelsdag offentliggøre en selskabsmeddelelse via Nasdaq Copenhagen og annoncere antallet af tilbagekøbte aktier og deres værdi samt vedlægge detaljeret information om de enkelte handler.
Banken kan til enhver tid suspendere eller stoppe aktietilbagekøbet. Dette vil i givet fald blive meddelt i en fondsbørsmeddelelse.
Djurslands Bank offentliggør som tidligere udmeldt halvårsrapport 2024 den 16. august 2024.
