Equinor ASA: Protokoll fra ordinær generalforsamling 2024
Generalforsamlingen i Equinor ASA (OSE: EQNR, NYSE: EQNR) godkjente 14. mai 2024 styrets forslag til årsregnskap og årsberetning for Equinor ASA og konsernet for 2023.
For fjerde kvartal 2023 godkjente generalforsamlingen utdeling av et ordinært utbytte på US dollar (USD) 0,35 per aksje og et ekstraordinært utbytte på USD 0,35 per aksje.
Utbyttet for fjerde kvartal 2023 tilfaller aksjeeiere som er registrert i Equinors aksjeeierregister i verdipapirsentralen (VPS) per utløpet av 16. mai 2024. Forutsatt ordinært oppgjør i VPS innebærer dette at man må være aksjeeier per 14. mai 2024 for å ha rett til utbytte. Aksjene vil bli handlet eksklusiv utbytte på Oslo Børs fra og med 15. mai 2024. Samme datoer gjelder også for utbytte til rettighetshavere under ADR-programmet (American Depository Receipts) i USA. Aksjeeiere med aksjer som handles på Oslo Børs vil motta sitt utbytte i norske kroner (NOK). NOK-utbyttet vil bli kommunisert 24. mai 2024. Utbetaling av utbyttet skjer 28. mai 2024.
Generalforsamlingen ga styret fullmakt til å vedta utbytteutbetalinger basert på selskapets årsregnskap for 2023. Fullmakten gjelder frem til neste ordinære generalforsamling, men ikke lenger enn til 30. juni 2025.
Åtte aksjonærforslag var til avstemning. Aksjonærenes begrunnelser og styrets respons er tilgjengelig på www.equinor.com/generalforsamling. Ingen av aksjonærforslagene ble vedtatt. Det vises til vedlagte protokoll for detaljer.
Generalforsamlingen ga sin tilslutning til styrets redegjørelse om eierstyring og selskapsledelse og til styrets 2023 rapport om godtgjørelse til ledende personer.
Godtgjørelse til selskapets eksterne revisor for 2023 ble godkjent.
Generalforsamlingen vedtok valgkomiteens innstilling om valg av medlemmer til bedriftsforsamlingen og valgkomiteen med virkning fra 15. mai 2024 og frem til ordinær generalforsamling i 2026. Se vedlagte referat for detaljer om valgte medlemmer.
Valgkomiteens forslag om godtgjørelse til bedriftsforsamlingen og valgkomiteen ble godkjent med virkning fra 15. mai 2024.
Generalforsamlingen ga styret fullmakt til på vegne av selskapet å erverve Equinor-aksjer i markedet for å kunne fortsette selskapets aksjeinsentivprogrammer for ansatte. Fullmakten gjelder frem til 30. juni 2025. Tidligere fullmakt, gitt av generalforsmalingen 10. mai 2023, skal fortsette å gjelde inntil ny fullmakt er registrert i Foretaksregisteret.
Som ledd i gjennomføringen av selskapets tilbakekjøpsprogram, besluttet generalforsamlingen kapitalnedsettelse ved sletting av egne aksjer og innløsning av aksjer tilhørende den norske stat.
For å gi styret mulighet til å utnytte de mekanismer som allmennaksjeloven gir anledning til når det gjelder distribusjon av kapital til selskapets aksjonærer, ga generalforsamlingen styret fullmakt til på vegne av selskapet å erverve Equinor-aksjer i markedet for etterfølgende sletting. Det er en forutsetning at tilbakekjøpte aksjer skal slettes gjennom beslutning om kapitalnedsettelse i en senere generalforsamling. Fullmakten gjelder frem til neste ordinære generalforsamling, men ikke lenger enn 30. juni 2025.
