Beslutninger på den ordinære generalforsamling 2024 i Bavarian Nordic A/S
KØBENHAVN, Danmark, 16. april 2024 – Bavarian Nordic A/S (OMX: BAVA) har i dag afholdt ordinær generalforsamling med følgende resultater:
- Årsrapporten for 2023 blev godkendt. Bestyrelsens forslag om, at overføre årets resultat til 2024 blev ligeledes godkendt.
- Vederlagsrapporten for 2023 blev godkendt.
- Generalforsamlingen meddelte bestyrelsen og direktionen decharge.
- Til bestyrelsen genvalgtes Luc Debruyne, Anders Gersel Pedersen, Frank Verwiel, Anne Louise Eberhard, Heidi Hunter og Johan van Hoof. Desuden blev Montse Montaner valgt til bestyrelsen. Bestyrelsen konstituerede sig med Luc Debruyne som formand og Anders Gersel Pedersen som næstformand.
- KPMG blev valgt som ny revisor for selskabet.
- Forslaget om at bemyndige bestyrelsen til at forhøje selskabets aktiekapital blev vedtaget.
- Forslaget om at bemyndige bestyrelsen til at udstede konvertible obligationer, der giver ret til tegning af nye aktier i selskabet, blev vedtaget.
- Forslaget om at bemyndige bestyrelsen til at udstede tegningsoptioner (warrants) blev vedtaget.
- Vederlagspolitikken blev vedtaget.
- Det foreslåede honorar til bestyrelsen og bestyrelsesudvalg for det igangværende regnskabsår blev godkendt.
- Forslaget om bemyndigelse til bestyrelsen til, på vegne af selskabet, at erhverve egne aktier i selskabet, blev vedtaget.
Referat samt afstemningsresultater fra generalforsamlingen vil blive fremlagt på selskabets hjemmeside inden for 14 dage fra dags dato.

I overensstemmelse med bemyndigelsen fra generalforsamlingen den 18. april 2024 har bestyrelsen i dag indført et incitamentsprogram for selskabets bestyrelse. Incitamentetprogrammet er designet og struktureret omkring konceptet med at fastholde medlemmer af bestyrelsen samtidig med at der skabes incitament til en positiv aktiekursudvikling og virksomhedens resultater til gavn for selskabets aktionærer.
