PunaMusta Media on toteuttanut medialiiketoiminnan kaupan Keskisuomalaiselle

PunaMusta Media Oyj on tänään 28.3.2024 toteuttanut tytäryhtiöidensä Sanomalehti Karjalainen Oy:n, Karelia Viestintä Oy:n ja PunaMusta Paikallismediat Oy:n koko osakekantojen myynnin Keskisuomalainen Oyj:lle. Medialiiketoiminta siirtyy Keskisuomalaisen omistukseen 1.4.2024. Samalla PunaMusta Media-konserni luopuu medialiiketoiminnastaan.
PunaMusta Media Oyj tiedotti 31.1.2024 allekirjoittaneensa kauppakirjan medialiiketoiminnan myynnistä Keskisuomalainen Oyj:lle. Kaupan täytäntöönpano oli ehdollinen Kilpailu- ja kuluttajaviraston hyväksynnälle. Kilpailu- ja kuluttajavirasto ilmoitti hyväksyneensä kaupan 6.3.2024.
Osakekauppojen velaton kauppahinta on 8,5 miljoonaa euroa, joka maksettiin kaupan toteuttamishetkellä. PunaMusta Media kirjaa konsernissa arvioidun myyntivoiton noin 10,2 miljoonaa euroa. Medialiiketoiminnan ulkoinen liikevaihto vuonna 2023 oli 17,6 miljoonaa euroa (19,0 miljoonaa euroa vuonna 2022), ja liiketulos oli 0,6 miljoonaa euroa (0,7 miljoonaa euroa vuonna 2022). Yhtiöt työllistivät vuonna 2023 noin 90 työntekijää.
Ennen kaupan toteutumista PunaMusta Paikallismediat Oy myi omistamansa 4 kiinteistöä PunaMusta Media Oyj:lle. PunaMusta Media Oyj vuokraa näihin kiinteistöihin liittyvät toimitilat ja Sanomalehti Karjalainen Oy:n toimitilat Keskisuomalainen Oyj:lle kolmeksi vuodeksi. Vuokrasopimusten enimmäismäärä kolmelta vuodelta ilman indeksikorotuksia on noin 0,9 miljoonaa euroa.
PunaMusta Media Oyj solmi kaupan yhteydessä Keskisuomalainen Oyj:n kanssa kolmen vuoden sanomalehtipainamisen alihankintasopimuksen sekä yhdeksän kuukauden sivunvalmistusalihankintasopimuksen. Alihankintasopimusten arvo ilman indeksikorotuksia on enintään 5,5 miljoonaa euroa.
PunaMusta Media tulee raportoimaan vuonna 2024 medialiiketoiminnan lopetettuna toimintona. Myyntivoitolla on olennainen positiivinen vaikutus vuoden 2024 tulokseen.
