Selostus: Tässä ilmoituksessa viitataan Keskinäinen työeläkevakuutusyhtiö Varman tekemään ja Tornator Oyj:n (”Yhtiö”) 23.12.2022 pörssitiedotteena julkaisemaan osakkeiden hankintaa koskevaan johtohenkilöiden liiketoimien ilmoitukseen, ja ilmoitusta täydennetään seuraavasti: Osakkeista maksettu kauppahinta kaupantekohetkellä oli 384 euroa per osake, yhteensä 20 880 000 euroa. Osapuolet olivat sopineet, että kaupasta maksettava lopullinen kauppahinta perustuu Yhtiön 2022 tilinpäätöksen perusteella laskettavaan osakkeen arvoon, ja tilinpäätöksen julkistamisen jälkeen kauppahintaa muutetaan siten, että lopullinen kauppahinta osakkeille vastaa Yhtiön vuoden 2022 tilinpäätöksen perusteella laskettua osakkeen arvoa. Tällä ilmoituksella ilmoitetaan Yhtiön tilinpäätöksen perusteella maksettu lisäkauppahinta, joka on 6,36938 euroa / osake, jolloin lopullinen kauppahinta on 21 226 335,04 euroa.
