Vid extra bolagsstämma i Mendus AB (publ), org. nr 556629-1786, (”Bolaget”) den 18 november 2022 fattades bland annat följande beslut. Bemyndigande för styrelsen att fatta beslut om nyemission samt emission av teckningsoptioner och/eller konvertibler
Den extra bolagsstämman beslutade om bemyndigande för styrelsen att under tiden intill nästa årsstämma, vid ett eller flera tillfällen och med eller utan avvikelse från aktieägarnas företrädesrätt, fatta beslut om nyemission av aktier samt emission av teckningsoptioner eller konvertibler mot kontant betalning och/eller med bestämmelse om apport eller kvittning eller eljest med villkor.
Antalet aktier, eller teckningsoptioner eller konvertibler som berättigar till teckning av aktier, som ska kunna emitteras ska uppgå till högst 20 procent av antalet registrerade aktier i Bolaget vid tidpunkten för styrelsens första beslut enligt bemyndigandet. Vid efterföljande beslut enligt bemyndigandet ska gränsen om 20 procent baseras på (i) antalet aktier som nyemitterats med stöd av bemyndigandet, samt, avseende teckningsoptioner och konvertibler som emitterats med stöd av bemyndigandet, (ii) det antalet aktier som emitterats genom teckning av utgivna teckningsoptioner, och (iii) det antalet aktier som emitterats genom konvertering av utgivna konvertibler, under förutsättning att teckning/konvertering av sådana teckningsoptioner/konvertibler har skett.
Bemyndigandet ersätter det bemyndigande som årsstämman den 10 maj 2022 fattade beslut om.
