Norsk Hydro: Etablering av tilbakekjøpsprogram av egne aksjer

Styret i Norsk Hydro ASA har besluttet å etablere et program for tilbakekjøp av egne aksjer for betjening av selskapets aksjonærer ved å redusere selskapets aksjekapital. Aksjetilbakekjøpsprogrammet er i henhold til fullmakt gitt til styret på ekstraordinær generalforsamling 20. september 2022.

Tilbakekjøpsprogrammet dekker erverv av maksimalt 100 000 000 aksjer i selskapet for inntil NOK 2 milliarder, inkludert innløsning av aksjer fra den norske stat. NOK 2 milliarder utgjør i størrelsesorden 1,6% av markedsverdien av selskapets aksjer med dagens aksjekurs. Tilbakekjøpsprogrammet vil starte 26. september 2022, og er planlagt gjennomført innen 29. mars 2023, mens fullmakten er gyldig til 20. september 2023 Alle aksjer som blir kjøpt som en del av programmet vil bli slettet ved gjennomføring av en en kapitalnedsettelse i Norsk Hydro, forutsatt godkjennelse i Norsk Hydro’s generalforsamling.

Minste og høyeste beløp som kan betales per aksje skal være henholdsvis NOK 20 og NOK 150.

Norsk Hydro har inngått avtale med den norske stat som innebærer proratarisk innløsning av den norske stats aksjer, slik at statens eierandel i Norsk Hydro vil være uendret etter at aksjene er slettet. 

Norsk Hydro har engasjert DnB Markets, en del av DNB Bank ASA, til å gjennomføre tilbakekjøpene i markedet. DNB Markets vil gjennomføre handlene uavhengig og upåvirket av Norsk Hydro.

Tilbakekjøpsprogrammet gjennomføres i henhold til EUs markedsmisbruksforordning (Market Abuse Regulation (EU) No 596/2014, også kalt "MAR") og Commission Delegated Regulation (EU) 2016/1052 ("Safe Harbour Regulation").
