Elon – bakgrund till den nya koncernen
Den 7 december 2021 offentliggjorde Electra Gruppen AB (namnändrat till Elon AB) och Elon Group AB en avsiktsförklaringen att gå samman. Vid årsstämman den 28 mars 2022 fattades beslut om riktad nyemission av aktier genom apport till Elon Group ABs moderbolag Elon Group Holding AB (publ). Samgåendet genomfördes den 16 maj 2022.
Elon är Nordens ledande återförsäljare av produkter till hemmet med fler än 900 fackhandlare med gemensam varuförsörjning. Nettoomsättningen proforma för den nya koncernen uppgick helår 2021 till 6 174 MSEK och det första halvåret proforma uppgick till 2 794,7 MSEK vilket är en nedgång med -2,8 procent mot samma period förra året. Genom strukturerad prishantering, god lagerplanering och väldiversifierad kundmix är både bruttoresultat och bruttomarginal starkare än tidigare perioder vilket skapar förutsättningar för fortsatt stark konkurrenskraft. Transaktionskostnader av engångskaraktär kopplade till samgåendet belastar första halvåret med 29,7 MSEK. Justerad EBIT proforma förbättrades under första halvåret med 3,1 MSEK till 23,7 MSEK (20,6) vilket ger en justerad EBIT-marginal proforma om 0,8 procent (0,7).
Transaktionen medförde att det förvärvade bolaget Elon Group ABs tidigare ägare, Elon Group Holding AB (publ) utifrån ett redovisningsperspektiv, erhöll bestämmande inflytande över det förvärvande bolaget varför samgåendet redovisas som ett så kallat omvänt förvärv. Koncernredovisningen utgörs således endast av Elon Group AB fram till förvärvstillfället den 16 maj 2022. Det innebär att jämförelsesiffrorna i rapporten avser Elon Group ABs ej sedan tidigare offentliggjorda koncernredovisningssiffror.
Andra kvartalet 2022
• Nettoomsättningen i kvartalet ökade med 17,6 procent till 1 178,9 MSEK (1 002,5) varav samgåendet med Electra påverkade positivt med 228 MSEK.
• Organisk omsättningstillväxt för kvartalet var negativ med -5,1 procent (+14,6).
• Bruttomarginalen uppgick till 14,0 procent (13,2).
• Transaktionskostnader av engångskaraktär kopplade till samgåendet mellan Elon Group och Electra Gruppen belastade rörelseresultatet i kvartalet med 24,7 MSEK.
• Rörelseresultatet (EBIT) uppgick till -22,7 MSEK (13,9) motsvarande en rörelsemarginal om -1,9 procent (1,4).
• Justerad EBIT uppgick till 1,9 MSEK (13,9) motsvarande en justerad EBIT-marginal om 0,2 procent (1,4).
• Resultat före skatt uppgick till -30,1 MSEK (12,6).
• Kassaflödet från den löpande verksamheten justerat för effekter av samgåendet uppgick för kvartalet till 33,3 MSEK (-0,6).
• Resultat per aktie uppgick till –1,89 SEK (1,92).
Januari 2022 – Juni 2022
• Nettoomsättningen ökade i perioden med 12,1 procent till 2 194,9 MSEK (1 958,5), varav samgåendet med Electra påverkat positivt med 228 MSEK i perioden.
• Den organiska omsättningstillväxten var 0,4 procent (15,1).
• Bruttomarginalen uppgick till 14,9 procent (13,3).
• Transaktionskostnader av engångskaraktär kopplade till samgåendet mellan Elon Group och Electra Gruppen belastade rörelseresultatet i perioden med 29,7 MSEK.
• Rörelseresultatet (EBIT) uppgick till -15,9 MSEK (18,6) motsvarande en rörelsemarginal om -0,7 procent (0,9).
• Justerad EBIT uppgick till 13,8 MSEK (18,6) motsvarande en justerad EBIT-marginal om 0,6 procent (0,9).
• Resultat före skatt uppgick till -23,5 MSEK (16,5).
• Kassaflödet från den löpande verksamheten uppgick till 31,3 MSEK (-173,2).
• Resultat per aktie uppgick till -1,55 SEK (2,52).
