COMPLETION OF SHARE BUYBACK PROGRAM IN CONNECTION WITH THE EMPLOYEE SHARE PURCHASE PLAN

Reference is made to the stock exchange announcements published by Soiltech ASA on 3 September 2026 and 11 September 2026 regarding the Company’s Employee Share Purchase Plan (ESSP) and the related share buyback program.

Completion of the share buyback program

The Company has completed the share buyback program. During the period from 4 September up to and including 18 September 2026, the Company purchased a total of 55,000 own shares for a total consideration of NOK 4,670,989, excluding transaction costs.

The volume-weighted average purchase price was NOK 84.9271 per share.

The purchases were carried out as follows:

Following completion of the share buyback program, the Company holds 55,000 own shares.

Allocation under the Employee Share Purchase Plan

Following completion of the share buyback program, 48,498 shares will be transferred to the 98 employees participating in the Plan. The shares are subject to an 18-month lock-up period.

The shares were allocated at a purchase price of NOK 73.8866 per share, representing a 13% discount to the Company’s volume-weighted average purchase price of NOK 84.9271 per share. The number of shares allocated to each participant will be rounded down to the nearest whole share.

The Company will publish a separate notification regarding acquisitions by primary insiders under the Plan.
